Client services (email marketing implementation)

In addition to publishing educational and affiliate content, we also provide services such as email marketing strategy, email campaign creation, automation flow setup, template design, segmentation support, optimization, and related consulting for ecommerce businesses.

When providing these services, we may be granted access to a client’s systems and tools (for example, ecommerce platform dashboards and/or an email marketing platform such as Omnisend) to configure flows, campaigns, templates, and segments, and to review performance data.

Data roles: For our own website, lead generation, direct communications, and billing/admin activities, we act as a controller. When we process personal data inside a client’s systems solely on that client’s instructions (for example, configuring automations in the client’s email platform), we generally act as a processor / service provider, and the client remains the controller of their customer/subscriber data.

Where required, processing for client services may be governed by a separate service agreement and/or data processing terms (DPA) between us and the client.

Service Terms (DFY email marketing services)

These Service Terms apply when you request or use our paid services, including email flow setup, campaign creation, optimization, and related consulting for ecommerce businesses. Additional terms may be agreed in a proposal, invoice, statement of work, or separate written agreement. If there is a conflict, the specific written agreement takes priority.

1) Scope of services

Services may include strategy recommendations, flow setup, campaign planning/creation, template work, segmentation support, performance review, and implementation in tools such as Omnisend (or other platforms agreed with the client).

2) Client responsibilities

You are responsible for providing accurate information, timely approvals, lawful access to your tools/accounts, and any required content, assets, and permissions (including rights to use your branding, images, and customer data).

3) Permissions and platform access

If you grant us access to your ecommerce or email marketing platforms, you confirm that you are authorized to do so and that your use of those platforms and your customer data complies with applicable laws, platform terms, and consent/marketing rules.

4) Data protection roles

For our own website, lead generation, and business administration, GrowFlow acts as a controller. When we process personal data in your systems solely under your instructions as part of service delivery, we generally act as a processor/service provider, and you remain the controller of that data.

5) Client compliance obligations

You are responsible for the legality of your email marketing practices, including subscriber consent, notices, unsubscribe handling, lawful bases (where applicable), and compliance with GDPR, ePrivacy/PECR, CAN-SPAM, and other applicable laws.

6) Approvals and launch decisions

Unless expressly agreed otherwise in writing, you are responsible for final review and approval of emails, automations, timing, segmentation, offers, and sending decisions before campaigns/flows go live.

7) No guaranteed results

We do not guarantee specific outcomes (including revenue, conversion rates, deliverability, inbox placement, open rates, click-through rates, or ROI). Results depend on many factors outside our control, including product-market fit, traffic quality, offer strength, list quality, and platform policies.

8) Fees, billing, and payment

Fees, billing terms, and payment deadlines are as stated in the applicable proposal, invoice, or written agreement. Unless otherwise agreed, invoices are due by the date stated on the invoice. We may suspend work for overdue invoices where permitted by law.

9) Revisions and delays

Reasonable revisions may be included if agreed in writing. Delays in approvals, access, content delivery, or feedback may affect timelines and delivery dates.

10) Third-party tools and provider terms

Your use of third-party tools (including Omnisend and ecommerce platforms) is governed by your agreements with those providers. We are not responsible for third-party outages, pricing changes, feature changes, account suspensions, or policy changes.

11) Intellectual property and usage rights

Unless otherwise agreed in writing, upon full payment you may use the final deliverables created specifically for your business for your internal business purposes. We retain ownership of our pre-existing know-how, methods, templates, frameworks, and general process improvements, to the extent permitted by law.

12) Confidentiality

We will use reasonable care to keep confidential business information shared for the purpose of service delivery confidential, except where disclosure is required by law, necessary to provide services through processors/subprocessors, or information is already public or independently known.

13) Term and termination

Either party may end the service relationship in accordance with the terms in the applicable proposal, invoice, or written agreement. Upon termination, access may be removed, outstanding amounts remain payable, and each party should return/remove access as appropriate.

14) Limitation of liability

To the maximum extent permitted by law, GrowFlow is not liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, goodwill, or data arising out of or related to the services. Our total liability for direct damages arising from a specific service engagement will not exceed the amounts paid to us for that engagement in the 3 months before the event giving rise to the claim, unless a different limit is required by law or agreed in writing.

15) Governing law and disputes

Unless otherwise required by applicable law or agreed in writing, these terms are governed by the laws of Slovenia. The competent courts in Slovenia shall have jurisdiction, unless mandatory consumer protection rules require otherwise.

16) Changes to service terms

We may update these Service Terms from time to time for future engagements by updating this page. The version in effect at the time of a confirmed engagement generally applies unless otherwise agreed.
